All terms not defined in these Terms and Conditions shall have the meanings ascribed to them in the Bree Health User Agreement. To the extent the terms of the Bree Health User Agreement and the terms of these Terms and Conditions conflict in any way, the terms of the Bree Health User Agreement shall prevail.
Bee Health, a service of Employee Network Inc (“ENI”), provides mental health coaching and counseling including telehealth, as part of our EAP services.
Both parties agree to keep confidential and not to use or disclose to others, either during the term of this Agreement, or any time thereafter, except as expressly consented to in writing by the other party or as required by law, any confidential or proprietary information, including, but not limited to, eligible client/member information, medical information, customer or Client lists, or any other information ascertained through their association, the use or disclosure of which might reasonably be construed to be contrary to the other’s best interest. Both parties further agree that, should this Agreement terminate, neither party will take nor retain, without prior written authorization of the other, any papers, lists, policies, eligible client/member records, files, or other documents or copies thereof. Without limiting other possible remedies for the breach of the covenant, both parties agree that injunctive or other equitable relief shall be available to enforce this covenant, such relief to be without the necessity of posting a bond, cash or otherwise.
Customers may opt-in, opt-out and request assistance with text messaging options.

Message Frequency: Users will receive 1-10 messages monthly.
Data Rates Notice: Message and data rates may apply.
Sender Identification for Organization: These terms and conditions are provided by Bree Health.
Unsubscribe Instructions: To stop receiving messages, text or reply with STOP.

In the performance of their respective obligations hereunder and in all matters pertaining to business activities, the parties hereby represent to one another that they have and will continue to comply with all applicable laws, rules, and/or regulations, whether derived under federal, state, or municipal law, which govern or are applicable to their respective activities.
User makes no representations or warranties, express or implied, in respect of the Services to be provided by it hereunder.
User hereby agrees to indemnify, protect and hold Bree Health (and its officers, directors, employees, agents, representatives, and affiliates) harmless from and against any and all liability, losses, injuries, damages, claims, demands, suits, costs, and expenses (including reasonable attorney’s fees) to the extent they relate to or arise out of the negligent performance by User of the Services contemplated by this Agreement or a breach of this Agreement by User, to the limit of User’s professional liability insurance coverage. At Bree Health’s request, User will, at its own cost and expense, cause to be delivered to Bree Health a policy of insurance covering such liability and will continue such insurance in force during the term of this Agreement.
User’s liability to Bree Health, if any, will in no event exceed five (5) times the amount of fees paid by Bree Health pursuant to this Agreement. Federal court of competent jurisdiction is Northern District of New York (NDNY) which covers Broome County, New York. The parties hereby irrevocably submit to the jurisdiction of such courts.
